Who this is with
These terms are between you, or the company you are acting for, and [registered company name, address and company number], who operate Clerk. Using the service means agreeing to them.
What Clerk is
Clerk connects to an Odoo database you already run, answers questions from it, reads documents that arrive in it, and carries out work you ask for. It installs nothing in Odoo and changes nothing about how Odoo works.
It is in beta. There is no uptime commitment, features will change, and things will occasionally break. Do not make it the only route to something your business cannot be without.
Your Odoo, and what Clerk may reach
You create an Odoo user for Clerk and give it an API key. Everything Clerk can do is bounded by what that user can do, enforced by Odoo itself — we cannot exceed it, and neither can anything you connect through us.
Choosing those permissions is yours. Connecting a user with rights to delete accounting records means Clerk can be asked to delete accounting records. Starting read-only, which is the default, means it cannot change anything at all.
You are responsible for keeping your own credentials safe, for who you give access to, and for revoking a connected client you no longer use.
When it writes
Where confirmation is switched on, Clerk shows you what it is about to write and waits. Nothing is written on a guess.
If you switch confirmation off for a database, or connect a client that has no way to show you a confirmation, writes proceed without one. That is a decision you make deliberately, and the consequences of it are yours.
Every read and every write is recorded in the activity log, with what was read and what was decided, for 30 days.
What the answers are worth
Clerk's answers are produced by a language model reading your data. They are usually right and they are not guaranteed to be. A figure can be wrong, a document can be misunderstood, and a question can be answered from the wrong records.
Check anything you are going to act on. Clerk is not an accountant, an auditor, a lawyer or a tax adviser, and nothing it produces is professional advice. Where it writes to your ERP with your approval, the decision to approve is yours, and the records it creates are yours to correct.
What you may not do
- Connect a database you are not authorised to connect.
- Use it to break a law that applies to you, or to process data you have no right to.
- Try to reach another customer's data, or to get around the permission model rather than configuring it.
- Resell it as your own product, or run automated load against it beyond ordinary use.
If you do any of these we may suspend the account, and we will tell you why unless telling you would make the problem worse.
What belongs to whom
Your data is yours: what is in your Odoo, what you upload, your conversations, and the files and answers Clerk produces for you. We claim no ownership of any of it and we do not sell it.
The software, the interface and the name are ours. Using the service does not transfer any of that to you.
Money
Clerk is free during the beta. When it stops being free we will tell you before you are charged anything, and you will be able to stop using it instead.
Stopping
You can disconnect a database at any time, and delete your account at any time — nothing is left behind in Odoo, because nothing was installed. Deleting the account removes the connections, conversations, files and logs it holds here; it does not touch records Clerk created in your Odoo, which are yours.
We may end the agreement with 30 days' notice, or immediately if the account is being used for something in the list above.
What we are liable for
We provide Clerk as it is, without warranties beyond those the law does not let us exclude. We are not liable for lost profits, lost data, or losses that follow indirectly from using it — including a decision made on an answer that turned out to be wrong.
Where liability cannot be excluded, it is limited to what you have paid us in the twelve months before the claim — which, during the beta, is nothing. Nothing here limits liability for death, personal injury, or fraud.
Which law
These terms are governed by the law of [jurisdiction], and its courts have exclusive jurisdiction.
Changes
We will tell you by email before a change that affects you takes effect. Carrying on using Clerk after that means accepting it; if you would rather not, you can delete the account.
